• Act as the external counsel of and provide day-to-day legal service to Chinese subsidiaries of a number of European and U.S. companies, including a U.S. activated carbon company, a U.S. chemical manufacturer, a Danish medical device company, a Danish dairy company, a Dutch coffee and tea company, as well as several U.S.-based and Italian-based wine companies, and assist the aforesaid companies in their daily legal matters, including but not limited to drafting and negotiating on commercial contracts, advising on compliance of sales, advertising, marketing and licenses and permits, etc.

Foreign Investment & M&A

• Represented a European building materials company in its acquisition of an insulation materials manufacturing company in Jiangsu Province, China, be responsible for the due diligence, participated in the negotiation, and helped complete all the integration matters after the acquisition.
• Represented a Danish medical device company in its due diligence in China for the sale of part of its equity.
• Represented a French automotive spare parts company in the exit of its JV and prepared the related agreements such as the SPA and termination deed.
• Participated in several projects related to the FDI, capital increase, capital reduction, liquidation and winding up of foreign invested entities in China.

Compliance & Investigations & Trainings

• • Assisted a Danish company in conducting a compliance investigation in China and eventually successfully persuaded the managing director to depart from the company voluntarily.
  • Assisted a Dutch company in an anti-corruption investigation of several Chinese employees, led interviews with more than 10 interviewees and ultimately successfully closing the investigation and terminating the employment of the employees involved.
  • Assisted a French sporting goods retailer in an anti-corruption investigation of several Chinese employees and culminated in a mutual termination agreement with the targeted employees in accordance with the company’s needs.
  • Assisted multinational companies in handling employment-related matters arising from compliance investigations, business restructuring and workforce adjustments, including advising on termination strategies, preparing relevant documentation and supporting negotiations with employees.
  • Prepared and delivered several compliance training and seminars to clients on topics such as the FCPA, the Antitrust Law, and the Anti-Unfair Competition Law of the PRC, etc.
  • Advised a leading European premium juvenile products company on a cross-border product recall in China, including assessing the applicable PRC product safety and recall regime, preparing regulatory filings and consumer-facing documents, and coordinating communications with the competent market supervision authority throughout the recall process.
