Representative Experience

General Corporate

  • Act as the external counsel of and provide day-to-day legal service to Chinese subsidiaries of a number of foreign companies, including, a Danish medical device company, a Danish dairy company, a Dutch coffee and tea company, as well as several U.S.-based and Italian-based wine companies, and assist the aforesaid companies in their daily legal matters, including but not limited to drafting and reviewing on various commercial contracts, advising on compliance of sales and distribution, AMR matters, and licenses and permits, etc.

Compliance & Commercial Projects

  • Participated in several commercial contracts between distributors and brand holders for an Italian beverage wine company’s Chinese subsidiary, drafting and reviewing the commercial contracts.
  • Participated in several projects related to share transfer, liquidation and winding up of foreign invested entities in China.
  • Participated in a Chinese business establishment project for a well-known Thailand energy company, providing high-level legal advice on the available entity forms and process for establishment.
  • Participated in Chinese market entry and compliance project for a U.S. high-end luxury department company, providing legal advice on advertising and product labelling.
  • Assisted several beverage companies in the label-related compliance project, prepared a guideline and legal advice to identify the complete and legitimate label.
  • Assisted several foreign company’s Chinese subsidiary in licenses renewal and update and AMR matters.
  • Assisted in a compliance investigation for a U.S. chemical manufacturer’s Chinese subsidiary.
  • Assisted in several compliance trainings and seminars to clients on topics such as the distribution-related matters, marketing and advertising, and the Company Law of the PRC, etc.
